Marvell agrees to buy Lumentum in $115 billion all-stock deal

Marvell will acquire optical maker Lumentum for an implied $115 billion, pairing electrical and optical chip technology for AI data centers, with Nvidia invested in both.

Marvell Technology has agreed to buy Lumentum, a maker of lasers and optical components, in an all-stock deal announced Monday, November 2. The transaction carries an implied enterprise value of $115 billion, which includes debt. 12

The terms are simple: Lumentum holders get 4.5 Marvell shares for each Lumentum share. That works out to roughly $1,132 per Lumentum share, a premium of about 23.9% over the October 28 close, the last trading day before deal speculation began. Once it closes, current Marvell holders would own about 67% of the combined company and Lumentum holders about 33%. 2

Because there is no cash in the deal, its value moves with Marvell’s stock price. Marvell shares fell 8% on Monday, and Lumentum fell 13%. 3

Here is what is physically changing. Marvell makes the silicon that handles electrical and optical signals. Lumentum makes the lasers, transceivers (modules that convert electrical signals to light and back) and optical circuit switches. The companies say that putting both under one roof allows the electrical and optical parts to be designed together rather than bolted on afterward. 2

The combined company says it would address a $550 billion total market and see a path to more than $1 billion in annual cost savings. It also expects the deal to add to Marvell’s non-GAAP earnings per share in the first year after closing. Those are the companies’ own projections, not results. 2

The deal ranks among the biggest in tech history. For scale, Microsoft paid $68.7 billion for Activision Blizzard in 2022 and Dell paid $67 billion for EMC in 2016. 1

Nvidia sits on both sides of the table. In March, it committed to a multibillion-dollar purchase of Lumentum’s advanced laser components and put $2 billion into the company to support R&D and a new U.S. fab. 4 Later that month, Marvell said Nvidia had invested $2 billion in it as well. 1 Marvell CEO Matt Murphy dismissed concerns about circular dealmaking, saying the deal doubles down on supporting Nvidia as the ecosystem leader. 3

Marvell has been building toward this. This year it closed a multibillion-dollar purchase of Celestial AI, a startup focused on optical interconnect technology. 3 The Lumentum deal is not expected to close until the first half of 2028, and it needs approval from both companies’ shareholders and from regulators. 1

Our read: The strategic logic is easy to see: if light replaces copper inside AI racks, whoever controls both the chip and the laser has fewer hand-offs to manage. The harder question is the timing. What would sharpen the picture is the regulatory review and whether the promised co-design shows up in actual products. The $1 billion savings figure and the $550 billion market are company estimates, and we cannot check them.

On the bench: nothing changes in anything you can buy today, since the deal is years from closing. If you build or buy AI server gear, the thing to watch is whether pre-validated optical-plus-silicon parts from one supplier arrive faster and cheaper than mixing vendors. Until then, ask for real test data, not the market-size slide.
